Magma Group Berhad (“Magma” or the “Group”), a Malaysian conglomerate and investment holding entity rooted in hospitality, with an expanding presence in property development and related sectors, today announced a change in the composition of its substantial shareholders following the successful allotment of consideration shares pursuant to the Proposed Acquisition approved by shareholders at the Extraordinary General Meeting (“EGM”) on 21 March 2025. This development marks the formal entry and variation in interest of several strategic investors, further strengthening the Group’s capital structure and aligning with its long-term corporate direction.

Following the allotment, Skyload Express Sdn. Bhd. (“Skyload”) has emerged as a direct substantial shareholder, holding 120,000,000 ordinary shares or 7.697% of Magma’s total issued share capital. In relation to the same exercise, Empire Solaris Sdn. Bhd. (“Empire Solaris”) became a substantial shareholder through an indirect interest in the same number of shares.

Among individual investors, Datuk Wira Lee Chong Wei has acquired a direct interest in 26,500,000 ordinary shares (1.700%) and an indirect interest in 127,000,000 ordinary shares (8.146%). Meanwhile, Mr. Lee Kim Hai now holds an indirect interest in 120,000,000 ordinary shares (7.697%).

Dato’ Sri Lee Hock Seng, already a substantial shareholder, has seen an increase in his deemed interest. He now holds a direct interest of 120,800,000 ordinary shares (7.748%) and an indirect interest of 182,000,000 shares (11.673%), bringing his total interest to approximately 19.421% of the Group’s issued capital. These shareholding changes are a direct outcome of the consideration share allotments to Skyload under the acquisition exercise.
