EPB Group Berhad (“EPB”), and its group of companies (the “Group”), an established one-stop food processing and packaging machinery solutions provider, today announced that all resolutions tabled at its Fourth Annual General Meeting (“4th AGM”) were duly passed by shareholders.

The 4th AGM was conducted in a hybrid format, with the main venue held at Mertajam Hall, Holiday Inn & Suites Penang Prai, Pulau Pinang, alongside live streaming and online remote voting facilities. The hybrid format enabled broader shareholder participation and reflected EPB’s continued commitment to accessibility, transparency and good corporate governance.
During the AGM, shareholders also received the Audited Financial Statements for the financial year ended 31 December 2025, together with the Reports of the Directors and Auditors thereon. Meanwhile, shareholders also approved the payment of Directors’ fees for the financial year ended 31 December 2025 and the financial year ending 31 December 2026, as well as benefits payable to the Independent Non-Executive Directors from 19 June 2026 until the next AGM.
In addition, shareholders approved the re-election of Mr. Noor Azman bin Nordin, Madam Ooi Kim Kew and Dr. Ooi Hun Pin, who retired by rotation in accordance with the Company’s Constitution. Ms Wong Sim Kuan and Ms Oh Lean Sim, who were appointed to the Board on 10 March 2026, were also re-elected as Directors.
The shareholders further approved the re-appointment of Messrs Folks DFK & Co PLT as Auditors of the Company for the ensuing year, and authorised the Directors to fix their remuneration.
As part of the special businesses tabled at the 4th AGM, shareholders approved the proposed authority for the Directors to issue and allot shares of up to 10% of the total number of issued shares of the Company pursuant to Sections 75 and 76 of the Companies Act 2016. The mandate provides EPB with financial flexibility to support potential working capital requirements, capital expenditure, investments, acquisitions or reduction of borrowings, when required.
Shareholders also approved the proposed renewal of shareholders’ mandate and proposed new shareholders’ mandate for recurrent related party transactions of a revenue or trading nature. The mandate will allow the Group to enter into transactions necessary for its day-to-day operations, provided that such transactions are conducted in the ordinary course of business, on arm’s length basis and on normal commercial terms.
