Betamek Receives Strong Shareholder Support At 5th AGM

Betamek Berhad (“Betamek” or the “Company“), an Original Design Manufacturer (“ODM“) and a leading player in electronics manufacturing services (“EMS”) for the automotive and industrial sector, is pleased to announce that shareholders have approved all resolutions tabled at the Company’s Fifth Annual General Meeting (“5th AGM”), held today in Rawang, Selangor.

At the 5th AGM, shareholders received the Company’s audited financial statements for the financial year ended 31 March 2026 together with the reports of the directors and auditors. Shareholders also approved the payment of a final single-tier dividend of 1.25 sen per ordinary share in respect of the financial year ended 31 March 2026, payable on 12 October 2026 to shareholders whose names appear in the Record of Depositors on 1 October 2026.

Other resolutions approved at the 5th AGM included the payment of fees of up to an aggregate amount of RM300,000 and benefits of up to RM20,000 to the Non-Executive Directors for the period from 28 August 2026 until the next AGM; the re-election of Encik Muhammad Fauzi bin Abd Ghani and Encik Mirzan bin Mahathir as Directors; and the re-appointment of Grant Thornton Malaysia PLT as the Company’s auditors.

Shareholders also approved the renewal of authority for the Board to allot shares of up to 10% of the Company’s total number of issued shares pursuant to Sections 75 and 76 of the Companies Act 2016, together with the waiver of statutory pre-emptive rights. In addition, shareholders approved the proposed authority for Betamek to purchase its own shares of up to 10% of the Company’s total number of issued shares, subject to the Companies Act 2016, the Company’s Constitution, the ACE Market Listing Requirements of Bursa Malaysia Securities Berhad and other applicable requirements.

Encik Muhammad Fauzi Bin Abd Ghani, Executive Director of Betamek commented, “We are grateful for the continued trust and confidence of our shareholders. The approval of all resolutions, including the final dividend and share buy-back authority, provides the Board with greater flexibility to balance shareholder returns, prudent capital management and the Company’s long-term growth priorities. We remain focused on strengthening our core capabilities, widening our customer base and pursuing opportunities that can broaden Betamek’s earnings potential.”

The Company views the strong shareholder support as a continued mandate to execute its strategic plans, including expanding its customer base beyond its anchor client, strengthening operational efficiency and investing in innovation across automotive and selected non-automotive markets. The share buy-back authority also provides Betamek with an additional capital-management tool that may be utilised when the Board considers it appropriate and in the best interests of the Company, subject to prevailing market conditions and applicable regulatory requirements.
