Harvest Miracle Shareholders Approve All Resolutions at 30th AGM

Harvest Miracle Capital Berhad (“Harvest Miracle” or the “Group”) announced that its shareholders have approved all resolutions tabled at the Company’s Thirtieth Annual General Meeting (“30th AGM”), held today at Tropicana Golf & Country Resort, Petaling Jaya, Selangor.

All six ordinary resolutions were duly passed by way of poll, reflecting shareholders’ continued support for the Board and the Group’s strategic direction.

At the meeting, shareholders re-elected Dato’ Liu Han Ming and Ms. Sherene Lee Mong Ee, who retired by rotation in accordance with Clause 131 of the Company’s Constitution, as Directors of the Company. Shareholders also approved the payment of Directors’ fees for the financial year ending 31 March 2027, as well as Directors’ benefits from the date of the 30th AGM until the next AGM.

Under special business, shareholders approved the authority for the Directors to allot and issue new shares of up to 10% of the Company’s total number of issued shares pursuant to Sections 75 and 76 of the Companies Act 2016 (“General Mandate”), together with the new Shareholders’ Mandate for Recurrent Related Party Transactions of a Revenue or Trading Nature (“RRPT Mandate”).

The General Mandate provides the Board with the flexibility to act swiftly on fund-raising opportunities, including for working capital, ongoing and future projects or investments, repayment of borrowings and acquisitions. The RRPT Mandate allows the Group to continue entering into recurrent transactions with related parties in the ordinary course of business, on normal commercial terms that are not detrimental to minority shareholders.

Shareholders also received the Company’s Annual Report 2026, including the Audited Financial Statements for the financial year ended 31 March 2026, together with the Reports of the Directors and Auditors thereon.

The AGM follows an encouraging start to FY2027. For the first quarter ended 30 June 2026, Harvest Miracle recorded revenue from continuing operations of RM64.21 million, up 14.3% year-on-year, while profit after taxation jumped 358.4% to RM3.19 million, supported by broader contributions from its Property Investment, Moneylending, Manufacturing and Trading divisions.

She added, “Our priority remains building a more balanced portfolio around manufacturing, construction materials trading, property investment and money lending, with a focus on scalable businesses backed by tangible assets and recurring income potential. We will continue to execute with discipline and keep shareholders informed as we deliver on our plans for long-term value creation.”

Moving forward, the Group will continue to strengthen its diversified earnings base, including its investment properties such as the Antara Genting project as a potential source of recurring rental income, its growing moneylending business, and its manufacturing and trading operations, which are positioned to benefit from Johor’s constructive construction demand fundamentals.
